1. Acceptance of Terms

By accessing this website, submitting a form, sending an email to the desk or signing a quotation issued by PSQK LLC, you agree to be bound by these terms and by the Privacy Policy published on this site. If you do not agree with any part of these terms, please do not use the site and do not engage the company.

These terms apply alongside any signed agreement for a specific project. Where a signed agreement conflicts with these terms, the signed agreement controls for that project. Nothing in these terms reduces a right that applicable consumer protection law gives you and that cannot be waived by contract.

2. Definitions

For clarity, the following words carry the meanings below throughout this document.

  • Company means PSQK LLC, with its office at 1856 S Columbia Ln, Orem - 84097-8042, United States (US).
  • Site means the website at https://www.psqk.hair and any page published under that domain.
  • Client means a person or organization that engages the Company for services.
  • Services means the roster coordination, documentation, systems design and related work described on the Site or in a quotation.
  • Deliverable means a document, roster, calendar, register, drawing, configuration note or other item produced for a Client.
  • Watch records means the sheets, logs and registers created or maintained during a watch engagement.

3. Description of Services

The Company provides coordination of night patrol rosters and related documentation, together with computer integrated systems design work. The public description of the services on the Services page is informational. A binding scope is created only by a signed quotation, a written statement of work or a written confirmation from the desk that names the tasks, the site and the price.

The main service families are watch round rosters, lockup check sheets, incident log reviews, gate walk schedules, alarm test calendars and key ring audits. Systems design work may include network segment planning for building controllers, access and video integration checks, provisioning procedures and the technical documentation needed to keep an installation maintainable. The Company may decline a request that falls outside its competence or that would require a licence it does not hold.

4. Eligibility and Authority

You must be at least eighteen years old and legally able to enter a contract to engage the Company. If you act for an organization, you confirm that you are authorized to accept these terms and to give instructions on its behalf. The Company may ask for written confirmation of authority before work begins, particularly where a site is jointly managed or where a landlord and a tenant share responsibility.

You agree that the contact details you provide are accurate and that you will keep them current so that the desk can reach the right person in an urgent situation.

5. Use of This Website

The Site is provided for information and for contacting the Company. You may read the pages, print them for your own reference and share links. You may not copy substantial portions into another site, present the content as your own or use automated tools to harvest contact details. The forms on the Site are for genuine enquiries. Test submissions, spam and automated messages are not permitted.

Availability of the Site is not guaranteed. The Company may change, suspend or withdraw any page without notice. The Site may be unavailable during maintenance, after a network fault or following an incident outside the control of the Company. The Company accepts no responsibility for a loss caused by an inability to reach the Site, except where the law requires otherwise.

6. Prohibited Conduct

When using the Site or dealing with the Company you must not do any of the following.

  • Attempt to gain unauthorized access to any system, account or data.
  • Probe, scan or test the vulnerability of the Site without written permission.
  • Introduce malware, automated load or any code intended to interfere with normal operation.
  • Impersonate another person or misrepresent your affiliation with an organization.
  • Use the Site to send unlawful, threatening, defamatory or misleading material.
  • Remove copyright notices, restrict access controls or bypass a technical measure.
  • Use the Company name or marks in a way that suggests endorsement without written consent.

The Company may report serious conduct to the relevant authority and may suspend access without notice where a security risk is suspected.

7. Engagement and Scope

A project begins when both parties have signed a quotation or when the desk confirms the scope in writing and the Client accepts it in writing. The written scope should name the site, the service families, the deliverables, the review cadence, the start date and the fee. Anything not named in the scope is outside the engagement.

Where a request is small, a short written confirmation by email is enough. Where a site is complex, the Company will prepare a statement of work that lists assumptions, dependencies and exclusions. The Client should read those assumptions carefully, because they describe what the Company expects to find on site and what it will do if the expectation is wrong.

The Company performs the services as an independent contractor. Nothing in these terms creates a partnership, a joint venture, an agency or an employment relationship between the parties.

8. Client Responsibilities

A watch desk depends on accurate information from the Client. The Client agrees to provide, in good time, the lawful right to visit the site, a named contact who can answer questions, accurate plans and records where they exist, and any safety induction required before work begins. The Client also agrees to inform relevant staff and tenants that the Company will be conducting walks, tests or audits.

The Client must not ask the Company to record or act on information that it has no right to share. Where a document names an individual, the Client is responsible for having a lawful basis to disclose that name. The Client must keep its own copy of every signed sheet it relies on for legal or insurance purposes, since the Company retains records for a defined period described in the Privacy Policy.

If the Client supplies equipment, credentials or access devices, it warrants that these are lawfully held and that their use for the engagement is permitted.

9. Fees and Payment

Fees are set out in the quotation. Unless the quotation states otherwise, fees cover the services described and do not include travel outside the Orem area, third party licences, replacement hardware or work requested after the scope was agreed. Expenses are charged at cost with prior written approval.

Invoices are payable within the period stated on the invoice. Where no period is stated, payment is due within fifteen days of the invoice date. The Company may charge interest on overdue amounts at the rate permitted by law. Where a payment remains outstanding despite a written reminder, the Company may suspend work and reclaim access until the account is settled.

Fees are exclusive of applicable taxes, which are added where the law requires. Amounts already paid for work completed are not refundable merely because the Client later changes its mind, though the Company will always discuss a fair adjustment where a project ends early for reasons outside the control of the Client.

10. Changes to a Project

A change to the scope should be requested in writing. The Company will confirm whether the change affects the fee, the schedule or the deliverables before starting the extra work. Where a change is accepted by both parties in writing, it becomes part of the engagement and is recorded in the project file.

Where the Client requests a change verbally during a visit, the Company may act on it if the change is small and the cost is trivial, but it will confirm the change in writing afterwards. A large change always requires written confirmation first, so that neither party is surprised by a revised invoice.

11. Limits of Watch Coordination

This section matters more than any other for a patrol desk, so it is written plainly. PSQK LLC coordinates rosters, sheets, calendars and registers. The Company does not provide a security guard service, a private police force, an emergency response team or a monitoring centre, and it does not guarantee that a crime, a loss, an injury or a system failure will not occur.

A roster is a plan for a person to follow. The Company is responsible for writing that plan with reasonable skill and for reviewing it on the agreed cadence. The Company is not responsible for the acts or omissions of a Client employee, a third party contractor or an intruder, and it is not liable for a failure of equipment that the Client owns or that another supplier maintains.

Where the Client asks the Company to record an incident, the record is a factual note made at the time. It is not a legal opinion, an admission, a determination of fault or a substitute for a report to an insurer or a police service. Emergency situations must always be reported to the appropriate emergency service first and to the desk afterwards.

12. Intellectual Property

The Site, its layout, its written content, its visual devices and its software are owned by PSQK LLC or used under licence. These terms do not transfer any ownership to you. You receive a limited, revocable licence to view the Site for your own information.

For client work, the position is set out in the quotation. Unless it says otherwise, the Client receives a perpetual licence to use the deliverables it has paid for, within its own organization and for the site named in the scope. The Company retains ownership of its methods, templates, check sheet formats, code and internal documentation, and may reuse those elements in other projects provided no confidential information of the Client is disclosed.

Third party software, fonts and images remain subject to the terms of their respective owners. Where a deliverable includes a third party component, the Client is responsible for holding any licence that component requires.

13. Confidentiality

Each party may receive information that the other treats as confidential, including site plans, key registers, staff names, incident details and commercial terms. The receiving party agrees to use that information only for the engagement, to protect it with reasonable care and to disclose it only to staff and contractors who need it for the work.

These obligations do not apply to information that is already public, that the receiving party already held lawfully, that it develops independently without reference to the disclosure, or that it must disclose to comply with a legal requirement. Where disclosure is compelled, the receiving party will give prompt notice so that the disclosing party can seek protection.

Confidentiality obligations continue after the engagement ends. At the end of an engagement, each party returns or destroys the confidential material of the other, except for one archival copy kept for legal or insurance purposes.

14. Warranty and Disclaimer

The Company warrants that it will perform its services with reasonable skill and care, in line with the written scope and applicable professional standards. If a deliverable does not meet that standard, the Client should notify the desk promptly and the Company will correct the work at no additional fee. This correction is the primary remedy for a defect in the service.

Except for that warranty and any warranty that cannot be excluded by law, the Site and the services are provided as they are. The Company disclaims all other warranties, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose and non infringement. The Company does not warrant that the Site will be uninterrupted, that it will be free of errors or that it will meet a specific operational requirement of a Client.

15. Limitation of Liability

To the fullest extent permitted by law, PSQK LLC is not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, loss of business opportunity, loss of goodwill or loss of data, even if the possibility of such a loss was known.

Where liability cannot be excluded, the total liability of the Company arising from or related to an engagement is limited to the fees paid by the Client for the services giving rise to the claim in the twelve months before the event. Where the claim relates only to use of the Site and no fees were paid, the total liability is limited to one hundred United States dollars.

Nothing in these terms limits liability for fraud, for wilful misconduct, for death or personal injury caused by negligence, or for any other liability that the law does not allow to be limited. Some jurisdictions do not permit certain exclusions, so parts of this section may not apply to you, and in that case the remaining parts continue in force.

16. Indemnity

You agree to indemnify and hold harmless PSQK LLC, its members, staff and contractors from any claim, loss, liability or expense, including reasonable legal fees, arising from your breach of these terms, from information you supplied that you had no right to share, or from your misuse of a deliverable. This obligation does not apply to the extent that the claim results from the negligence or misconduct of the Company.

This indemnity survives the end of an engagement and the termination of access to the Site.

17. Termination and Suspension

Either party may end an engagement by written notice. Where the engagement is for a fixed term, the notice period in the quotation applies. Where no period is stated, thirty days written notice is required. Work completed up to the end of the notice period remains payable.

The Company may suspend or terminate access to the Site or refuse further services immediately where a payment is seriously overdue, where a security risk arises, where the Client asks the Company to act unlawfully, or where continued work would expose a person to danger. On termination, the Company will hand over completed deliverables for which payment has been made and will return confidential material as described in the confidentiality section.

18. Third Party Products and Links

An engagement may involve equipment, software or services supplied by another company. The Company may recommend a product because it suits a site, but it does not control that supplier and does not warrant its performance. Any claim about a third party product must be pursued with that supplier under its own terms.

Links on the Site to external resources are provided for convenience. The Company does not endorse the content of those resources and is not responsible for their accuracy, availability or privacy practices. Following an external link is at your own risk.

19. Governing Law and Disputes

These terms are governed by the laws of the State of Utah, United States, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts sitting in Utah County for any dispute that cannot be resolved by discussion.

Before starting a formal claim, the parties agree to make a genuine attempt to resolve the matter. A written notice describing the dispute must be sent to the other party, and the parties will meet, in person or by telephone, within thirty days of that notice. If the dispute remains unresolved after that meeting, either party may proceed as allowed by law. Nothing in this section prevents a party from seeking urgent relief from a court where delay would cause harm.

20. General Provisions

These terms, together with the Privacy Policy and any signed project agreement, form the entire agreement between the parties on their subject matter. They replace any earlier discussion or representation about the same subject.

If a provision is found to be invalid or unenforceable, it is modified to the minimum extent needed to make it valid, and the remaining provisions stay in force. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.

Neither party is liable for a delay caused by an event outside its reasonable control, including a natural disaster, a utility failure, a strike, a change in law or a widespread network outage, provided it gives notice and makes reasonable efforts to resume performance. The Company may assign these terms as part of a sale of the business. You may not assign your rights without the written consent of the Company. Notices must be sent to desk@psqk.hair or to the postal address at the top of this page and are treated as received on the next business day after sending.

21. Contact Information
